Terms of Service
Please read these terms carefully before using the ConfigUnify platform. By accessing or using our services, you agree to be bound by these terms.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you or the organization you represent ("Customer") and ConfigUnify Inc. ("ConfigUnify"), a corporation incorporated under the laws of Ontario, Canada. By registering for, accessing, or using any ConfigUnify service, you confirm that you have read, understood, and agreed to these Terms.
2. Services
ConfigUnify provides a cloud-based and on-premise network configuration normalization platform, including the ConfigUnify Format (CUF) parser, diff review tools, deployment automation, rollback planning, and related APIs and integrations (collectively, the "Services"). The specific features available to you depend on the subscription plan you have purchased.
3. Account Registration and Security
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services to access or attempt to access any network device without proper authorization
- Reverse-engineer, decompile, or attempt to extract the source code of the platform
- Resell, sublicense, or transfer your subscription to any third party without written consent
- Use the Services to transmit malware, exploits, or unauthorized scripts
- Interfere with or disrupt the integrity or performance of the Services
5. Subscription and Payment
Subscriptions are billed in advance on a monthly or annual basis. All fees are in Canadian Dollars unless otherwise specified. Fees are non-refundable except as required by law. ConfigUnify reserves the right to modify pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
6. Data and Intellectual Property
You retain ownership of all network configuration data and content you upload to the platform ("Customer Data"). You grant ConfigUnify a limited, non-exclusive license to process Customer Data solely for the purpose of providing the Services. ConfigUnify retains all intellectual property rights in the platform, the CUF schema, and related documentation.
7. Limitation of Liability
To the maximum extent permitted by applicable law, ConfigUnify shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to network outages, data loss, or unauthorized configuration changes. ConfigUnify's total cumulative liability shall not exceed the fees paid by you in the three months preceding the claim.
8. Termination
Either party may terminate the subscription at the end of the current billing period with 30 days' written notice. ConfigUnify may suspend or terminate your access immediately if you materially breach these Terms. Upon termination, you will have 30 days to export your Customer Data before it is permanently deleted.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising under these Terms shall be resolved by binding arbitration in Toronto, Ontario, except that either party may seek injunctive relief in any court of competent jurisdiction.
